These Terms of Service (“Terms”) govern your use of the Donna macOS application and the usedonna.io website (together, the “Service”), operated by Vritam LP (“Donna,” “we,” “us”). By downloading, installing, or using Donna, you agree to these Terms. If you do not agree, do not use the Service.
The Service
Donna is a macOS application that records and transcribes your meetings on your Mac and helps you keep your day organized. Recordings and transcripts are created and stored locally on your device. How we handle data is described in our Privacy Policy.
Accounts
Some features require signing in with Apple or Google. You are responsible for the security of your account and for everything that happens under it. You must be at least 13 years old to use Donna.
Paid features
Recording features require an active Donna Pro subscription; the rest of the app keeps working without one.
Subscriptions and billing
- Plans. Donna Pro is offered as a monthly or yearly subscription. The price shown at checkout is the price you pay.
- Auto-renewal. Subscriptions renew automatically at the end of each billing period until cancelled.
- Cancellation. You can cancel at any time; your subscription stays active until the end of the period you already paid for, and you will not be charged again.
- Payment processing. Payments are processed by our billing partners (RevenueCat and Stripe). Receipts and subscription management links are sent to the email you use at checkout.
- Price changes. If prices change, the new price applies from your next renewal, and we will give you reasonable advance notice.
- Refunds. Except where required by law, payments are non-refundable - but if something went wrong, contact us at support@usedonna.io and we will try to make it right.
Recording laws are your responsibility
Donna records audio on your Mac. Laws about recording conversations vary by state and country - many places require the consent of everyone on a call. You are solely responsible for complying with applicable recording and consent laws and for obtaining any required permission from meeting participants before recording.
Acceptable use
You agree not to:
- use the Service to violate any law or the rights of others;
- reverse engineer, resell, or redistribute the app except as permitted by law;
- interfere with or disrupt the Service or its billing systems;
- use the Service to record people where you lack the legal right to do so.
Your content
Your recordings, transcripts, and notes are yours. We claim no ownership of them. Because they are stored on your device, you are responsible for backing them up.
Our intellectual property
The Donna app, name, logo, and website are our property or that of our licensors. We grant you a personal, non-exclusive, non-transferable license to use the app on Macs you own or control. The app is licensed, not sold.
Disclaimers
The Service is provided “as is” without warranties of any kind, express or implied. Automatic transcription and speaker identification are imperfect; do not rely on them where accuracy is critical. We do not guarantee that every meeting will be detected or recorded.
Limitation of liability
To the maximum extent permitted by law, Donna will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or recordings. Our total liability for any claim relating to the Service is limited to the amount you paid us in the twelve months before the claim arose.
Termination
You can stop using Donna at any time. We may suspend or terminate access to the Service if you materially violate these Terms. Sections that by their nature should survive termination (including Your content, Disclaimers, and Limitation of liability) survive.
Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the effective date above; continued use of the Service after changes take effect constitutes acceptance.
Governing law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules.
